ADLIGAN Terms of Use

These Terms of Use ("Terms") govern your access to and use of the ADLIGAN web portal, the ADLIGAN assistant, and related services (collectively, the "Service"), operated by ADLIGAN ("ADLIGAN," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ADLIGAN provides an AI assistant that helps real estate professionals manage client follow-up, prepare documents, and create content, delivered through a web portal and a messaging interface. The Service can connect to third-party accounts you authorize so the assistant can act on your behalf within the permissions you grant.
2. Eligibility and accounts
The Service is intended for real estate professionals and other business users who are at least 18 years old. You are responsible for the information you provide, for maintaining the security of your account credentials, and for all activity that occurs under your account. Notify us promptly at support@adligan.ai if you suspect unauthorized use.
3. Connected accounts and third-party services
You may connect third-party services (such as CRM, social, communication, and productivity platforms) to the Service. When you connect an account, you authorize ADLIGAN to access and act on that account only within the permission scopes you grant, and you represent that you have the right to connect it.
Your use of each connected service remains governed by that provider's own terms and policies. You are responsible for complying with those terms — including each platform's content, automation, and developer policies — when you use the Service with that account. ADLIGAN is not responsible for third-party services, and a provider may change or revoke access at any time.
4. Approval-gated actions
Actions that publish content publicly or send messages to your clients require your explicit approval before they occur. The assistant may prepare a draft, but it is not published or sent until you approve it through a confirmation step. You are solely responsible for content you approve for publishing or sending.
5. Your content
You retain ownership of the content you provide to, or create with, the Service ("Your Content"). You grant ADLIGAN a non-exclusive, worldwide license to host, process, and transmit Your Content solely to operate and provide the Service to you (including sending relevant content to our AI model and infrastructure providers to generate drafts and responses). You represent that you have the rights necessary to submit Your Content and that it does not infringe the rights of others.
6. Acceptable use
You agree not to use the Service to:
- violate any law or regulation, or infringe the rights of others;
- send spam, unsolicited messages, or content that violates the policies of any connected platform or messaging provider;
- publish false, misleading, deceptive, or fraudulent content;
- attempt to gain unauthorized access to, disrupt, reverse engineer, or circumvent the security of the Service or any connected system;
- use the Service to build a competing product, or resell it without our written permission.
7. AI-generated content
The Service uses AI to generate drafts, summaries, and responses. AI output may be inaccurate, incomplete, or unsuitable for a given purpose, and it does not constitute legal, financial, tax, or professional advice. You are responsible for reviewing AI-generated content before relying on it, approving it, or publishing it.
8. Intellectual property
The Service, including its software, design, and content (excluding Your Content), is owned by ADLIGAN and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that connected third-party services will remain available.
10. Limitation of liability
To the maximum extent permitted by law, ADLIGAN will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim, or USD $100 if you have paid nothing.
11. Indemnification
You agree to indemnify and hold ADLIGAN harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your connected accounts, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service and request account closure at any time. We may suspend or terminate your access if you violate these Terms, if required to protect the Service or other users, or as otherwise permitted by law. Upon termination, your right to use the Service ends; sections that by their nature should survive (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.
13. Changes to the Service or these Terms
We may modify or discontinue features of the Service, and we may update these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict-of-laws rules. Any dispute will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.
